Welcome to Habuyta. These Terms of Use (“Terms”) govern your access to and use of the Habuyta website, platform, applications, tools, services, content, programs, and features (collectively, the “Platform”), operated by Habuyta LLC (“Habuyta,” “Company,” “we,” “us,” or “our”).
By accessing or using the Platform, creating an account, or clicking to accept these Terms, you agree to be bound by them. If you do not agree, you may not use the Platform.
2. Eligibility & Account Creation
The Platform is available only to individuals who are at least 18 years old or the age of legal majority in their jurisdiction. By using the Platform, you represent and warrant that you meet these requirements and have the authority to enter into these Terms.
To access certain features, you must create an account and provide accurate, current, and complete information.
You agree to:
- Maintain accurate account information
- Keep login credentials confidential
- Notify us of unauthorized use
- Accept responsibility for all activity under your account
Accounts are personal and non-transferable without written permission. We may suspend or terminate accounts at our discretion for violations of these Terms or conduct that harms Platform integrity.
3. Services Provided
Habuyta is a web-based technology platform designed to help home chefs, bakers, food entrepreneurs, farmers, and small food businesses (“Sellers”) launch, grow, and operate sustainable ventures by providing business tools, compliance guidance, education, community features, digital storefronts, discovery tools, lead-matching services, and optional ordering or payment tools.
Habuyta operates as a technology platform and marketplace facilitator. Habuyta may introduce, match, or connect buyers and Sellers and may provide transaction-processing tools through third-party payment providers.
Habuyta is not a food seller, manufacturer, distributor, caterer, merchant of record, broker, regulator, agent, or insurer. Habuyta does not prepare, store, inspect, package, transport, sell, or deliver food. All food-related products and services are offered solely by independent Sellers.
Habuyta provides software infrastructure and enablement services only.
4. User Responsibilities
4.1 Seller Responsibilities
Sellers are independent businesses and are solely responsible for:
- Compliance with all applicable laws and regulations
- Obtaining and maintaining required permits, licenses, and insurance
- Food safety, preparation, storage, labeling, and quality
- Accuracy of listings, pricing, ingredients, and representations
- Customer fulfillment and dispute handling
Sellers are not employees, agents, or partners of Habuyta.
4.2 Customer Responsibilities
Customers acknowledge that:
- Sellers are independent businesses
- Habuyta does not prepare, sell, or deliver food
- Purchasing decisions are made at the Customer's discretion
- Product disputes must be resolved directly with Sellers unless otherwise stated
5. Coaching & Advisory Disclaimer
Habuyta's 1:1 support programs, paid packages, and advisory services provide guidance, education, and resources to help home chefs build structured businesses. Results are not guaranteed.
Business outcomes depend on individual effort, market conditions, regulatory compliance, and other factors outside of Habuyta's control.
Habuyta does not provide individualized legal, tax, or financial advice unless explicitly stated in a separate written agreement.
5.1 Earnings Disclaimer
Any references to revenue growth, repeat customers, or business success on this Platform are illustrative examples and not guarantees. Individual outcomes vary based on effort, experience, market conditions, and execution. Habuyta does not promise or guarantee specific financial outcomes.
Testimonials and case studies reflect individual experiences and are not necessarily representative of results that other users will achieve.
6. Intellectual Property
All Platform content, design, software, and trademarks are owned by Habuyta or its licensors.
Users retain ownership of content they submit but grant Habuyta a non-exclusive, worldwide, royalty-free license to use such content to operate and promote the Platform.

The information provided on this website, including blog posts, guides, downloads, and free resources, is for general informational and educational purposes only. It does not constitute legal, financial, tax, business, or professional advice.

9. Marketplace & Discovery Tools

Use of Marketplace Tools does not create any agency, partnership, joint venture, or fiduciary relationship between Habuyta and any user.
Habuyta may remove listings, restrict visibility, adjust ranking, or suspend storefronts to protect safety, compliance, or Platform integrity.
10. Payments, Leads & Platform Integrity
10.1 Payment Processing
Habuyta may offer tools that allow payments or bookings to be processed through third-party providers such as Stripe. When used, those providers' terms apply.
Habuyta may assess transaction fees, service fees, or other disclosed charges.
Habuyta may withhold, delay, adjust, or reverse payouts where reasonably necessary to:
- Investigate fraud or misconduct
- Address chargebacks or disputes
- Enforce these Terms
- Assess circumvention risk
- Protect Platform integrity
10.2 Platform Introductions
If a Customer and Seller are introduced, matched, or connected through Habuyta — including through storefronts, search results, listings, messaging tools, or lead features — such interaction constitutes a “Platform Introduction.”
Transactions arising from a Platform Introduction must be completed in good faith using Habuyta's available transaction tools where offered.
10.3 Anti-Circumvention Policy
Users may not engage in conduct designed to avoid Platform fees, policies, safeguards, or governance.
Circumvention includes:
- Redirecting users to transact off-platform following a Platform Introduction
- Encouraging off-platform payment methods to avoid fees
- Using the Platform primarily to harvest leads
- Structuring transactions to evade fee calculation
- Repeatedly attempting to move payment-related communication off-platform
This restriction applies even if users independently locate each other using publicly available information following a Platform Introduction.
10.3a External Links for Chefs (Informational Use Only)
Chefs may include links to personal websites, blogs, or social media profiles in their Habuyta store's About section for informational purposes.
These links are for sharing your story, portfolio, and culinary journey with customers.
External links must not be used to redirect buyers for transactions, circumvent platform fees, or complete orders off Habuyta.
Listings, product descriptions, and messaging tools may not contain off-platform payment instructions or links.
Keeping all orders and payments on Habuyta ensures:
- Secure, reliable transactions and instant payouts
- Access to marketing, analytics, and business support tools
- Protection for both chefs and customers in disputes
Violations of this section may be treated under the Anti-Circumvention Policy (10.3) and result in enforcement measures.
10.4 Graduated Risk & Fee Structure
Habuyta may implement risk-based measures to protect users and the Platform.
Risk factors may include:
- High cancellation rates
- High refund or chargeback ratios
- Repeated off-platform transaction attempts
- Suspicious transaction patterns
- Policy violations
- Payment manipulation
Based on risk assessment, Habuyta may:
- Adjust transaction fees
- Delay payouts
- Require additional verification
- Limit feature access
- Reduce visibility or ranking
- Suspend or terminate accounts
Habuyta may use automated systems and algorithmic risk scoring to evaluate risk and enforce these Terms.
10.5 Repeat Violations & Cross-Account Enforcement
Violations may result in:
- Warning notices
- Temporary restrictions
- Fee adjustments or payout delays
- Suspension
- Permanent termination
Habuyta may link related accounts using device identifiers, IP address, payment information, or behavioral patterns and enforce restrictions across associated accounts.
11. Monitoring & Enforcement
Habuyta may monitor communications, transaction behavior, and account activity for fraud prevention, policy enforcement, and Platform integrity.
We may use automated systems and internal review processes to detect violations and circumvention attempts.
Violation histories may be retained to prevent abuse or re-registration after suspension.
12. Disclaimer of Warranties
THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
13. Limitation of Liability
Habuyta shall not be liable for any direct, indirect, incidental, consequential, special, or punitive damages resulting from the use of this website, app, services, or reliance on its content. Users assume all risk when using the Platform, resources, or guidance provided.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, HABUYTA'S TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF $100 OR THE AMOUNT PAID BY YOU TO HABUYTA IN THE PRECEDING TWELVE (12) MONTHS.
14. Indemnification
You agree to indemnify and hold Habuyta harmless from claims arising from your use of the Platform, violation of these Terms, or business operations.
15. Governing Law & Miscellaneous
15.1 Arbitration
Disputes shall be resolved by binding individual arbitration administered by JAMS in St. Louis County, Missouri. Class actions are waived.
15.2 Governing Law
These Terms are governed by the laws of the State of Missouri.
15.3 Modifications
We may update these Terms at any time. Continued use constitutes acceptance.
15.4 Severability
If any provision of these Terms is found invalid or unenforceable, the remaining provisions shall remain in full force and effect.
